1. Acceptance of these terms
By accessing or using MyProtocol (the “Platform”), you agree to be bound by these Terms & Conditions (these “Terms”). If you do not agree to these Terms, do not access or use the Platform.
These Terms form a binding agreement between you (“you” or “your”) and MyProtocol (“MyProtocol,” “we,” “us,” or “our”). If you use the Platform on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to that organization.
These Terms are the master agreement for the Platform. They incorporate our Community Guidelines and, for anyone who publishes a protocol or adds a community note, the Contributor Agreement. Those documents supplement these Terms; where any conflict arises, these Terms control.
Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. The Privacy Policy is a separate document that governs our data practices. It is not incorporated into these Terms, and nothing in these Terms, including the limitations of liability, limits any rights you have under the Privacy Policy or under applicable privacy and data-protection law.
2. Eligibility
You must be at least 18 years old to access or use the Platform. By using the Platform, you represent and warrant that you are 18 or older and have the legal capacity to enter into these Terms.
The Platform is intended for adults and is not directed to children. We do not knowingly collect personal information from anyone under 18, and, consistent with the Children’s Online Privacy Protection Act (COPPA), we do not knowingly collect personal information from children under 13. If we learn that we have collected personal information from a person who does not meet these requirements, we will delete it and may terminate the associated account.
3. The Platform
MyProtocol is a community platform where users can discover, create, save, and share wellness protocols. The Platform provides tools for organizing step-by-step routines, collecting favorites, and engaging in community discussions.
4. Your account
To publish protocols, save favorites, add community notes, or use certain features, you must create an account. You agree to provide accurate and complete information, to keep it current, and to maintain the confidentiality of your account credentials. You are responsible for all activity that occurs under your account, and you will notify us promptly of any unauthorized use. We may reclaim or require a change to a username that is misleading, infringing, or otherwise objectionable.
5. User Content and license
“User Content” means any content you submit to the Platform, including protocols, community notes, comments, forum posts, images, and profile information. You retain ownership of your User Content. By submitting User Content, you grant MyProtocol a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, distribute, and promote that content for the purpose of operating, improving, and promoting the Platform. This license ends when you remove your User Content, except for copies already shared with or stored by others and copies retained in routine backups.
You are solely responsible for the accuracy and legality of the User Content you submit. You represent and warrant that you own or have the necessary rights to your User Content and that it does not infringe or violate the rights of any third party.
Before publishing your first protocol or adding your first community note, you will be asked to accept the Contributor Agreement, a one-time agreement covering personal experience, credentials, content ownership, FTC disclosure, age, and indemnification. The agreement supplements these Terms. Where the two conflict, these Terms control.
6. Medical disclaimer
Protocols and other content on MyProtocol are user-submitted and provided for informational purposes only. Nothing on this Platform constitutes medical advice, diagnosis, or treatment. Always consult a qualified healthcare professional before making changes to your wellness routine.
7. Assumption of risk; third-party links; no endorsement
User Content is created by users, not by MyProtocol, and is the sole responsibility of the person or entity from which it originated. We do not review, verify, endorse, or guarantee any User Content, creator, credential, or product referenced on the Platform, and we make no representation or warranty as to the accuracy, safety, legality, or usefulness of any protocol, note, or other content. You access and rely on User Content at your own risk.
Your use of the Platform does not create any physician-patient, therapist-client, or other professional relationship between you and MyProtocol or any user. Before acting on any protocol or content, consult a qualified professional, as described in the Medical Disclaimer above.
The Platform may contain links to third-party websites, products, or services, and may let you connect to or interact with third-party services, such as signing in through a third-party login provider. Those websites and services are operated by third parties, and we do not control them or take responsibility for their content, products, accuracy, availability, or privacy and data practices. The inclusion of any link or integration does not imply our endorsement of it. Your use of any third-party website or service is at your own risk and is governed by that third party’s own terms, and any dealings you have with a third party found on or through the Platform are solely between you and that third party.
8. Prohibited conduct
You agree not to engage in conduct that violates these Terms, applicable law, or the safety and integrity of the Platform, including:
- Submit false, misleading, or harmful content.
- Impersonate any person or entity.
- Use the Platform for spam or commercial solicitation.
- Attempt to gain unauthorized access to any account or system, or circumvent, disable, or interfere with security features, rate limits, or access controls.
- Access, scrape, crawl, index, or harvest the Platform or any content or data on it through any automated means or any engine, software, tool, or mechanism (including bots, spiders, scrapers, crawlers, or data-mining tools), other than software generally available through web browsers, a search engine acting under our published robots directives, or with our prior written consent.
- Reverse engineer, decompile, disassemble, or attempt to derive or extract the source code or underlying structure of the Platform, except where this restriction is prohibited by applicable law.
- Introduce malware, viruses, or other harmful code, or place an unreasonable load on the Platform or its infrastructure.
- Use the Platform or any of its content to build, train, test, or improve any generative AI, large language, or machine-learning model, or to build a competing product, service, or dataset.
- Collect or harvest personal information about other users.
- Violate any applicable laws or regulations.
This list is illustrative and not exhaustive. We may take action against materially similar conduct that undermines user safety or platform trust.
9. Content moderation and enforcement
MyProtocol may review, remove, restrict, or decline to publish content that we reasonably believe violates these Terms, Community Guidelines, or applicable law. We have no obligation to monitor User Content, but we may do so at our discretion.
We may issue warnings, limit account functionality, suspend, or terminate access, including immediately in serious cases (for example, safety risks, fraud, abuse, or evasion). Enforcement may occur with or without prior notice where permitted by law.
10. Intellectual property and copyright complaints
We respect intellectual property rights and expect users to do the same. You may not submit User Content that infringes the copyright, trademark, or other rights of any third party.
If you believe content on the Platform infringes your copyright, you may send a written notice to us through the contact page that includes: (1) your physical or electronic signature; (2) identification of the copyrighted work you claim has been infringed; (3) identification of the material you claim is infringing and information reasonably sufficient to locate it; (4) your contact information; (5) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (6) a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf. If your content was removed in error, you may submit a counter-notice. We will, in appropriate circumstances, disable or terminate the accounts of users who are repeat infringers.
11. Disclaimer of warranties
To the fullest extent permitted by applicable law, the Platform and all User Content are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express, implied, or statutory. MyProtocol specifically disclaims all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Platform will be uninterrupted, secure, error-free, or free of harmful components, or that any User Content is accurate, complete, reliable, safe, or lawful. No advice or information, whether oral or written, that you obtain from MyProtocol or through the Platform creates any warranty not expressly stated in these Terms.
12. Limitation of liability
To the fullest extent permitted by applicable law, in no event will MyProtocol or its affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, or for any personal injury or adverse health outcome, arising out of or relating to your use of (or inability to use) the Platform or any User Content, whether based in contract, tort, negligence, strict liability, or any other theory, and whether or not we have been advised of the possibility of such damages.
To the fullest extent permitted by applicable law, the aggregate liability of MyProtocol and the parties listed above for all claims arising out of or relating to the Platform or these Terms will not exceed the greater of (a) the total amounts you paid to MyProtocol, if any, in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US $100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you; in that case, our liability will be limited to the maximum extent permitted by applicable law. These limitations are a fundamental basis of the agreement between you and MyProtocol.
13. Indemnification
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless MyProtocol and its affiliates, officers, directors, employees, and agents from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Platform; (b) your User Content; (c) your breach of these Terms or any document incorporated by reference, including the Community Guidelines and, where applicable, the Contributor Agreement; (d) your violation of any law or any right of a third party; or (e) any activity that occurs under your account.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with us. Every contributor acknowledges and accepts this indemnification when they accept the Contributor Agreement.
14. Governing law and dispute resolution
These Terms are governed by the laws of the State of Connecticut, without regard to its conflict-of-laws rules, and by applicable U.S. federal law.
Informal resolution. Before bringing any claim, you agree to contact us through the contact page and to attempt to resolve the dispute informally for at least thirty (30) days.
MyProtocol intends to require that disputes be resolved through binding individual arbitration and to include a waiver of class actions and jury trials. Until those provisions are finalized and posted in final form, any dispute not resolved informally will be brought exclusively in the state courts of Connecticut or the United States District Court for the District of Connecticut, and you and MyProtocol consent to the personal jurisdiction of those courts.
15. Changes to the Platform and to these Terms
We may modify, suspend, or discontinue any part of the Platform at any time, with or without notice, and we will not be liable to you or any third party for doing so.
We may also update these Terms from time to time. We will update the “Last updated” date when changes are posted, and for material changes we may provide additional notice (for example, in-product notices or email where available). Your continued use of the Platform after the effective date of updated Terms constitutes acceptance of those Terms. If you do not agree, you must stop using the Platform.
16. Term, termination, and survival
These Terms apply for as long as you use the Platform. You may stop using the Platform at any time and may delete your account from your account settings. When you delete your account, associated User Content may be deleted; however, content you made public may remain available, and copies may persist in backups or where other users have stored or shared it. We may suspend or terminate your access as described in the Content Moderation and Enforcement Section.
The following Sections survive termination: User Content and license; Medical disclaimer; Assumption of risk; Disclaimer of warranties; Limitation of liability; Indemnification; Governing law and dispute resolution; and General terms, together with any other provision that by its nature should survive.
17. General terms
These Terms, together with the documents they incorporate, constitute the entire agreement between you and MyProtocol regarding the Platform and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions will remain in full force, and the unenforceable provision will be limited or modified to the minimum extent necessary. Our failure to enforce any provision is not a waiver of our right to do so later.
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms, including in connection with a merger, acquisition, financing, or sale of assets.
These Terms are for the sole benefit of you and MyProtocol and do not confer any rights or remedies on any other person or entity. Nothing in these Terms creates any employment, agency, partnership, or joint venture between you and MyProtocol, and you have no authority to bind MyProtocol or to act on its behalf.
If you have a dispute with one or more users or any third party, you release MyProtocol and the parties listed in the Limitation of Liability Section from any claims, demands, and damages of every kind arising out of or relating to that dispute. We are not responsible for events beyond our reasonable control. Section headings are for convenience only and do not affect interpretation.
